Hello, all. Hope things are good in the tower.

I just got off the phone with Coopers & Lybrand... they are finishing up my 1997 tax return because I had to wait on the Ion audit/K-1. Looks like I have been stuck with a tax hole of about 6k due to my ‘partnership’ interest in Ion last year. I understand that you guys made disbursements to all the partners (as was the plan) back in April to cover the tax holes, and of course, that was the month after I was off the payroll.

Is the intention to not pay a disbursement to cover my tax hole? It was, after all, caused entirely by Ion’s accounting methods, which were out of my control, and I received no partnership benefit from being there.

Please tell me that you guys will do the right thing and cover this... I am in no financial position to be able to handle this hit. This would provide a clean break, once and for all, wrapping up all loose ends, and keep things civil.

Please let me know asap, as I have to get this return filed this weekend.

Mike

Well, me 'taking care of the IRS myself' would entail another 7k tax debt... the tax debt is what I'm looking to get over in the first place. Why can't you guys just pay the IRS on my behalf like you did for yourselves?

The release will also need to be mutual, just like the other contract. There is no way my lawyer will let me sign something like that without the same from Ion... your lawyer certainly wouldn't let you sign a one-sided release.

All that has to be done to resolve this to everyone's satisfaction immediately is adding in the same language in my paragraph to reflect Ion's mutual release, and paying the IRS the amount directly, but clearly on my behalf.

What's wrong with that?

The contract is still in effect, this just acknowledges that you aren't going to sue us for anything you "heard" through the grapevine. Pretty standard stuff really.

As far as the amount, the amount in the release is going to be paid to you directly and you can take care of the IRS yourself....cool?

Got the release... surprised that it was a release, but whatever makes you feel comfortable. I don't have a problem signing the release as long as it doesn't relieve you guys of your ongoing obligation to not make disparaging remarks about me. I think that's a healthy thing to have in place on both sides, no? However, if the release is intended to discontinue that other contract, it needs to be mutual... meaning you guys are holding me harmless from any claims as well.

Other than that, either you guys need to pay the IRS directly on my behalf or pay me the amount plus the new tax deficit that would create. Your lawyer may have an opinion on this. If he thinks it's better to pay me directly, then Frank at Coopers can give you the number that includes tax on tax or whatever.

Thoughts?

Great... the sooner we can get something to my lawyers, the better.

By release, you mean the 'I was never a partner' bit, right?

Thanks for getting back to me, btw.

Mike
