Hi Todd.

It's Cynthia True formerly for Details...now for Rolling Stone! I assume you are aware the Storm story is going in RS's November issue.

Since we talked so long ago, I need to do a little re-reporting. Following are a few questions. I'm e-mailing to expedite the process but if you are more comfortable discussing over the phone, give me a ring at 512-451-9845. Many thanks.

1. You took over as CEO when Mike Wilson left the company, is that correct?

[Todd Porter] No, actually it was a months later. I started dealing with the biz side then, and I slowly grew more and more involved. Eventually my partners made me CEO.

2. What’s up with Doppelganger? Is it being delayed for the forseeable future or is it in development?

[Todd Porter] As you can imagine, I found myself buried in business details from the point Mike left on. This was difficult enough when Dominion was in its final stages, but almost impossible when you added in Doppelganger. I appealed to both Eidos and my partners to slow the project down until I had a chance to reorganize the various departments and assume control of this rather large vessel; Ion. I think you could accurately describe it as delayed for the forseeable future, but also still in modest development.

3. There have also been some speculation regarding layoffs at the company. Would you care to comment?

[Todd Porter] Speculation? You mean you've read one of the 50 web sites that report our every move...hehe. At the end of Dominion I had 8 programmers. That's way too many for normal development so I cut 3. The remaining 5 who were supposed to move to Doppelganger, actually went to Daikatana and Tech groups to help that product (and our others) ship on time. We had 2 cut from QA as they were no longer in full testing mode (Dominion had shipped). Because I had all artists and no programmers on Doppelganger, we decided with the slowdown of the project to eliminate that excess staff (I think 5). Two additional people left the Austin office as well. That's all the layoffs I know about.

4. Is is true that you are now concentrating entirely on business affair
(i.e. not designing games anymore)?

[Todd Porter] I'd say I spend 80% on business and 20% on design. I'm also overseeing the production schedules of all of our titles (Daikatana, Anachronox, and Deus Ex) to insure that they come out on time.

What was the reason behind that?

[Todd Porter] The reason was simple, we had grown to large to fast, had very few procedures or practices in place, and had almost no command structure for any of the departments. Reorganizing, cutbacks in staff, as well as a great deal of policy changes were required to keep us on course. For the most part we had a band-like mentality among the 4 original founders of Ion. We made the music, and our biz took care of the details. The only problem was the biz side became focussed on other desires (the G.O.D. deal for one). Once Mike decided to leave and pursue his dream, and with the dismissal of our COO, it was very important for me to get us back to the direction we were originally heading. This, it turned out, required a tremendous amount of my day.

I hope this helps, if you have any other questions, feel free to write.

Todd

Rob just spoke to the rolling stone people who said they are not shooting us, just john and whats more with his shirt off. Tom is very ill, I had a lawyers meeting I had to postpone, and we all made the effort to bring in a second set of clothing as per instructions on this. Had we known the facts - which apparently are still in question - Tom could have stayed home and I could have made my meeting.

Now I don't know whether to go to lunch, if I'm supposed to be here or at my rescheduled meeting this afternoon, whether to send Tom home, or if we will miss a photo shoot that we are still hearing has been called off.

If a partner had performed like this, they would have had an earful by now. You notice I didn't specify who would be fired, just that someone would. This is because I'm hearing that this is no one person's fault in particular. So who's is it? I can tell you it certainly isn't mine, Tom's, John's or Jerry's...

We can talk whenever you want, just call....

Nice to hear from you Todd;-) Finally...

Threats don't work with us. Partnerships do.

Bottom line: Rolling Stone is doing a story on ION Storm and this is incredible as they rarely feature any stories on the computer gaming industry at all.

Good news: According to Lori, Fiona, the photo editor told her that although they were interested in shooting John, they were also planning to take photos of all the founders. In fact, Fiona even spoke to Rob Legg yesterday to get all of the names of the founders. Lori just spoke with her again (1:15pm EST), and Fiona confirmed that she wanted photos of EVERYONE. Fiona is trying to get in touch must have gotten misinformation. According to Fiona, she did try to fax the founder information to the photographer, however, she is not sure that he received the information.

Have the photographer call Lori if this is not resolved asap.

Can we talk soon? I would love to hear your voice.

So here we are all dressed and ready for the shoot on such short notice and they tell us that rolling stone couldn't make the flight.

Then they tell us that they are here.

Then they tell us that they are here but are not going to take pictures of everyone, just john.

If this happens again, I'm firing someone. Clear?

Rolling Stone is going to be in your offices on Tuesday. Cynthia True had originally written an ION Storm profile story for Details (who backed out) and then resubmitted it for Rolling Stone. The piece will be in their November tech issue. The photographer, Martin Schoeller, would like to spend the day at your offices taking photos. Please let me know immediately if this is a problem as he is flying out on Monday.

Sorry for the short notice, I just found out today about the shoot. Thanks.

Let me know when you guys can/want to meet. Tomorrow or Friday morning would be the best time because I need to cut TSI and get all the legal stuff covered with our law firm. Let me know when and where. If e-mail is the only option, I can do that too. I should be able to answer any questions you have in addition to getting Faiola on the phone as well.

Todd,

Please read the following letter to Audre at TSI. I would like to send it to her via e-mail tonight and via fed-ex tonight or tomorrow. I will counter with 45 days if necessary. I appreciate your flexibility here. I just do not want to give them free money. Please let me know your comments or approval as soon as you get a chance.

Thanks,

Mike Breslin
Vice President
Business Development
Ion Storm

Is it possible to final bill Ion for the balance of 'out of pocket costs' incurred in addition to October's Fee billing of $7500. We believe ending the relationship in this way will allow both Ion Storm and TSI to move on and focus on each of our businesses and futures. Dragging out the termination does not benefit either of our companies. As you touched on in Tuesday's conversation, Ion Storm is now forging a stronger relationship with Eidos in both our financial and marketing/PR disciplines. And in doing so, Ion Storm has had to end two lengthy relationships. It is your understanding of our companies current situation that we ask you to consider this proposal. Per your review of this proposal, let me know what your thoughts and feelings are. Thank you for your time and thank you for the great PR TSI has obtained for Ion Storm throughout the last two years.

Todd and Mike,

I checked with our legal department and we need a formal termination letter (hard copy) sent to us (or fed-exed) in order to officially end our relationship. The contract will terminate 90 days from the receipt of the letter.

You will be hearing from Joan Wolff, our CFO, or can reach her directly at

212-320-2254.
