The deal with Eidos apparently begins to falter. Porter begins looking for alternate sources of capital.

Bill,

I need you to study the Eidos Contract and give me the answer to the following questions:

1. Are we paid on SELL IN or SELL THROUGH

2. Can we sell part of the company and who are we limited in selling it to.

3. What are our rights to sell OEM units.

Additionally, we need to be prepared for when Eidos starts to attempt to assert their rights under the contract.

You also need to prepare a letter stating that Eidos formally waves all rights to Doppelganger so we can get that away from them.

I need a money guy to prepare our pitch to the other companies we are looking at. I used Martin Zacharias before, but he is presently working for G.O.D. so I can't use him now.

By the way, Mike Wilson has been hounding me about the tax money. He says he is willing to say he NEVER owned his stock in the company if it streamlines things. This may be appealing.

I will see you monday morning!

On our contract with Eidos:

1. How are we paid (sell in or sell through or what)

2. OEM rights....who has them

3. Can another company invest in us

I meet with 3Dfx and Gateway next week in vegas, and Dell and Compaq are in the future as well. All have stated desires to invest so....

I will try to get ahold of Eidos today (again).

Keep All this under your hat (Eidos doesn't know about the other companies....)

I may have been unclear -- I wasn't asking YOU about the status of the deal. I asked IAN about the status of the deal and he didn't want to say -- he defered to Charles and Mike.

You were quite clear the other day that you hadn't received any updates in a while.

So... Any idea what happens if the deal is off? (Just don't say "we sign with EA...")

Warren

The status is that there is no status.

They said 2 weeks ago (exactly) that I would be receiving a fax. It hasn't come.

I (and the other partners) are assuming it's off. I called mike today but no answer yet.
